If you make submission to an area of the Site accessed or accessible by the Public (‘Public Area’) or if you submit any business information, idea, concept or invention to the Site through any form of communication or transmission, you automatically represent and warrant that you are authorized to grant, and expressly grant to the Principals and Site a royalty-free, perpetual, irrevocable, world-wide nonexclusive license to use, reproduce, create derivative works from, modify, publish, edit, translate, distribute, perform, and display the communication or content in any media or medium, or any form, format, or forum now known or hereafter developed. The Site may sublicense its rights through multiple tiers of sublicenses.  If you wish to keep any business information, ideas, concepts or inventions private or proprietary, do not submit them to the Public Areas or via unsolicited email or other form of communication or transmission.

Some of the Public Areas of the Site permit real-time posting of user-contributed content.  Although the Site does not moderate the Public Areas, it reserves the right to modify or remove user-contributed content for any purpose and at any time, with or without notice to the contributor. Said editing or removal shall be at the Principal’s sole discretion, in real time and final, without opportunity for appeal or review.

In its normal maintenance of the site including the Public Areas, the Principals may (but is not obligated to) take any or all of the following action(s):

  • Record the dialogue in public Chat Rooms.
  • Examine allegations that a communication(s) does not conform to the Terms of Use and determine in their sole discretion to remove or request the removal of the communication(s).
  • Remove communications that are abusive, illegal, or disruptive, or that otherwise fail to conform to these Terms of Use;
  • Suspend or terminate access to any or all Public Areas and/or the entire site;
  • Monitor, store, edit, or disclose any communication or transmission submitted to the site.
L I M I T A T I O N   O F   L I A B I L I T Y

Your use of the content is at your own risk. The Principals specifically disclaim any liability, whether based in Contract, Tort, Negligence, Strict Liability or otherwise, for any direct, indirect, incidental, punitive, consequential, or special damages arising out of, or in any way connected with access to, use or reliance on the content (even if advised of the possibility of such damages) or that arise in connection with mistakes or omissions in, or delays in transmission of, information to, or from, the User, any failure of performance, error, omission, interruption, deletion, defect, delay in operation or transmission or delivery, computer virus, communication line failure, theft or destruction or unauthorized access to, alteration of, or use of records, programs or files, interruptions in telecommunications connections to the Site or viruses, whether caused in whole or in part by negligence, act of God, Telecommunications failure, theft or destruction of, or unauthorized access to the Site or the content. You agree to defend, indemnify, and hold the Site, its owners, officers, directors, employees, contributors, agents, licensors and licensees harmless from, and against, any and all claims, actions or demands, liabilities including awards and settlements and reasonable legal and accounting fees, resulting from, or alleged to result from, your use of the Site.
